MODEL RELEASE

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the undersigned Model hereby grants to antix, Inc., its licensees and assigns (the Company) a nonexclusive license to reproduce, digitize, edit, publicly display, and distribute the images described below (the Pictures) in the website, (website name), as well as other web sites and media and in any advertising and promotion related to the foregoing (the Project) forever.   Without limiting the foregoing, this license includes the right to permit users of the Web site to reproduce one copy of the Pictures for their personal, noncommercial use, and Company shall so state in its Web site conditions of usage. This license shall not include the right to use the Pictures independently of the Project or advertising and promotion related thereto.  Model hereby releases and discharges (the company), its employees and/or assigns from any and all liability by virtue of distortion, blurring, alteration, optical illusion and/or use in composite form, whether the same is intentional, or otherwise.  Company shall be under no obligation to exploit any of the rights granted hereunder.

Model represents and warrants that Model is the owner of all right, title and interest in the tangible forms of the Pictures and all intellectual property rights protecting them or has the right to grant the license granted herein and that  the use, public display, reproduction, distribution, or modification of the Pictures do not and will not violate the rights of any third parties in the Pictures including, but not limited to, copyrights, trademarks, publicity and privacy.  Without limiting the foregoing, Model represents and warrants that Model has obtained all necessary permissions from all photographers who contributed to the Pictures .  Model agrees to defend, indemnify, and hold harmless Company and their officers, directors, sublicensees, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from the breach of the warranties herein.

Parental Consent

I, _______________________________ (parent/legal guardian), have read and approve the foregoing release and consent to its execution by my child/ward.  I hereby fully and unconditionally guarantee and join in the grant of rights in and to the Pictures as set forth in the foregoing Release and I will fully indemnify Company and any of its affiliated or related entities, as well as its officers, directors, employees or other representatives against any breach of this Release by my child/ward or of this Parental Consent by me.
